Terms of Use

1. What this document covers

This Terms of Use governs your use of the hammerin.co website — browsing, creating an

account, and general site conduct. It is not the contract that governs an actual

introduction: seekers separately sign a Seeker Agreement and connectors/experts

separately sign an Expert Agreement at the specific points in the product where an

introduction is being made — those documents control the commercial terms, commissions,

and non-circumvention obligations. This page covers the site itself. If the two

conflict on a matter they both address, the Seeker Agreement or Expert Agreement

controls for that matter.

2. Eligibility

You must be 18 or older and able to form a binding contract to create an account. You're

responsible for the accuracy of the information you submit and for keeping your login

credentials confidential. You're responsible for all activity under your account.

3. Acceptable use

You agree not to:

• Attempt to scrape, enumerate, or bulk-extract profiles, categories, or any other

platform data.

• Use the platform to bribe, corrupt, or improperly influence a public official, evade

sanctions, launder money, or circumvent public procurement or competitive bidding.

• Impersonate another person or misrepresent your identity, credentials, or authority.
• Interfere with the platform's operation (including its matching, scheduling, or

payment systems) or attempt to bypass its access controls.

• Use the platform to harass, threaten, or abuse another user.
• Use automated means (bots, scrapers) to access the site outside normal browser use.

4. Accounts

One person, one account. We may suspend or terminate an account for a violation of this

Terms of Use, the Seeker Agreement, the Expert Agreement, or applicable law, without

notice where we reasonably believe that's necessary to protect the platform or its users.

5. Third-party services

The platform relies on third parties to operate: Stripe for payment processing,

Daily.co for video calls, and an email service provider for transactional email. Your

use of those features is also subject to those providers' own terms — we don't control

their availability and aren't liable for their outages or errors.

6. Intellectual property

The site's design, code, and branding belong to Hammerin.co. You retain ownership of

content you submit (briefs, profile text, messages); you grant Hammerin a license to

store and use that content as needed to operate the platform and enforce its agreements.

7. Disclaimers

THE PLATFORM IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND.

Hammerin doesn't guarantee that any search will produce a match, that any introduction

will lead to a meeting or a business outcome, or that any user's claimed identity,

credentials, expertise, or access is accurate. Hammerin reviews expert applications but

does not independently verify or vouch for any user, and is not liable for any user's

conduct, misrepresentation, or failure to deliver a promised service. You are solely

responsible for evaluating anyone you're introduced to and for your own due diligence

before relying on or engaging them — you assume that risk and waive any claim against

Hammerin arising from another user's actions or inactions. The Seeker Agreement and

Expert Agreement, signed at the point an actual introduction happens, cover this in more

detail for that specific relationship; this section applies the same protection to the

site generally, including before either agreement is signed.

8. Limitation of liability

To the maximum extent permitted by law, Hammerin's total liability for any claim arising

from your use of the site is limited to the amount you've paid Hammerin in the 12 months

before the claim. Neither party is liable for indirect, incidental, or consequential

damages. Nothing in this section limits liability where the law doesn't allow it.

9. Indemnification

You agree to indemnify Hammerin against claims arising from your breach of this Terms of

Use or your violation of applicable law through your use of the site.

10. Governing law

This Terms of Use is governed by the laws of the State of Florida, without regard to

its conflict-of-law rules. Disputes are subject to the exclusive jurisdiction of the

courts of Miami-Dade County, Florida.

11. Severability

If a court finds any provision of this Terms of Use unenforceable, the rest remains in

effect.

12. Changes

We may update this Terms of Use from time to time. Material changes will be posted here

with an updated effective date; continued use of the site after a change constitutes

acceptance.
